Wholesale Sales Terms and Conditions of Sales
General:
Every order, pro-forma invoice, price list or similar document made or issued by Heritage Art Papers (The Company) is made or issued subject to these general Terms and Conditions of sale. These terms and conditions do not affect any statutory rights as contained in current legislation governing the relationship between trading companies.
Definitions:
The Company or we means Heritage Art Papers, the Customer or you, means the account applicant, account holder, person or company who buys or agrees to buy goods from the company.
Acceptance of Orders:
No order resulting from any quotation, pro-forma invoice, price list or other similar document made or issued by the company shall be binding unless and until it is accepted by the company. The company at its discretion may accept or reject any order.
Product Specifications:
The company will, at all times, endeavour to supply goods to the quoted specification. The company does however reserve the right to modify raw material and or finished goods specifications without prior notice.
Payment:
The companys normal terms of business for account holders are strictly 30 days net from date of invoice. Non account customers are accepted on a pro-forma / cash sale basis. The company reserves the right to refuse or cancel account facilities at any time. Customers paying by cheque on a pro-forma cash basis should allow sufficient time for the cheque to clear prior to the goods being despatched.
Despatch:
Orders are normally despatched within 3 5 working days. Although we pride ourselves on our stock levels and first time order satisfaction, there will inevitably be occasions when some items are out of stock. These items are normally placed on back order and will be supplied within 7 days.
Delivery:
Whilst we make every effort to keep an agreed delivery date, we cannot be held liable for late delivery or consequential losses, cost, expenses arising from non-delivery on the estimated date.
Damages and Shortages:
The customer shall report any damage or shortage to the company and (if required, the carriers) in writing within 7 days of delivery. Provided prompt notice of transit damage or loss is given and provided it is proved to the companies satisfaction that such g=damage occurred in transit, the company will replace or refund any damaged / lost goods free of charge.
Ownership and Risk:
The risk in the goods shall pass from the company to the customer upon delivery of such goods. However, ownership (title and full legal and beneficial ownership) of the goods remains with Heritage Art Papers until such time as the goods are paid for in full. Full payment includes any additional charges forming part of this contract (e.g. post and packing if applicable).
Faulty Goods:
In the unlikely event of any items proving defective or faulty, we are happy to offer a full refund or replacement free of charge. Customers should contact Heritage Art Papers to discuss any such claims prior to returning goods for examination.
Product Misuse:
Should items fail as a result of misuse, extremes of humidity, temperature, or inappropriate storage, etc. the company reserves the right to refuse such claims for replacement or refund.
Force Majure:
The company will not be liable to any breach of agreement, for delay or failure of goods if the delay or failure is due to an act of God, civil commotion, riots, floods, drought, fire, legislation or other cause beyond the companys reasonable control.
Limitations of Agreement:
This agreement does not affect any statutory rights. The company (Heritage Art Papers) may choose not to enforce any or all of the above limitations but waver of the agreement will not affect or set a precedent for settlements with future orders or contracts.
Liability:
Under no circumstances shall the company be responsible for any indirect, incidental or consequential loss or damages.
